User Agreement

Welcome to Mindapt. This User Agreement ("Agreement") is a legal contract between you and Mindapt, Inc. ("Mindapt," "we," "us," or "our") governing your use of our AI-powered educational learning platform and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by this Agreement.
1. Acceptance of Terms
By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Notice. If you do not agree to these terms, you may not access or use the Services.
Eligibility: To use our Services, you must be at least 13 years old. If you are under 18, you must have permission from a parent, legal guardian, or authorized school official. If you are accessing the Services on behalf of a school, district, or other educational institution, you represent that you have the authority to bind that institution to this Agreement.
Educational Institution Authorization: If you are a student using the Services through your school or district, your access is authorized by your educational institution. Your school or district has agreed to our terms on your behalf and is responsible for obtaining any necessary parental consents.
2. Description of Services
Mindapt provides an AI-powered educational platform designed to help students develop AI literacy skills. Our Services include:
- Readiness Assessment: Evaluates student understanding of AI concepts and readiness for AI-enhanced learning.
- Foundations: Core curriculum covering fundamental AI literacy concepts.
- Applied Scenarios: Real-world applications and hands-on learning experiences.
- Guided Exploration: Supervised AI interaction with educational guardrails.
- Certification (Passport): Verification of AI literacy competencies.
- Insights & Reporting: Progress tracking and analytics for educators.
The Services are intended solely for educational purposes. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
3. User Accounts
Account Types
We offer different account types based on user roles:
- Student Accounts: For learners accessing educational content and assessments.
- Teacher Accounts: For educators managing classrooms and monitoring student progress.
- Administrator Accounts: For school or district officials managing institutional access.
Account Responsibilities
You are responsible for:
- Providing accurate and complete registration information.
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account.
- Notifying us immediately of any unauthorized use of your account.
You may not share your account credentials with others or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these terms.
4. Acceptable Use Policy
Permitted Uses
You may use the Services for:
- Learning about AI concepts and developing AI literacy skills.
- Completing assigned coursework and assessments.
- Engaging with educational AI interactions as intended.
- Accessing progress reports and learning analytics (for authorized users).
Prohibited Activities
You may not:
- Use the Services for any unlawful purpose or in violation of any applicable laws.
- Attempt to bypass educational safeguards or manipulate assessments.
- Submit false, misleading, or plagiarized work.
- Harass, bully, or harm other users.
- Attempt to extract, reverse engineer, or misuse AI models.
- Share inappropriate, offensive, or harmful content.
- Interfere with or disrupt the Services or servers.
- Access accounts or data belonging to other users without authorization.
- Use the Services in any manner that violates your school's policies.
5. AI-Powered Features
Our Services incorporate artificial intelligence technologies to enhance the educational experience. By using our AI-powered features, you acknowledge and agree to the following:
Nature of AI Content
- AI-generated responses are produced by machine learning systems and may not always be accurate, complete, or appropriate.
- AI outputs should be used as educational tools, not as authoritative sources of information.
- Students are encouraged to think critically about and verify AI-generated content.
Educational Safeguards
- All AI interactions are filtered for age-appropriate content.
- AI interactions may be logged and reviewed by teachers for educational purposes.
- Teachers maintain oversight and control over AI features in their classrooms.
- We do not use student data to train AI models.
Limitations
AI systems have inherent limitations. We do not guarantee that AI-generated content will be error-free, unbiased, or suitable for any particular purpose. Users should exercise their own judgment when interacting with AI features.
6. Intellectual Property
Our Rights
The Services, including all content, features, functionality, software, and design, are owned by Mindapt and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.
Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial educational purposes in accordance with this Agreement. This license does not include the right to sublicense, resell, or distribute the Services.
User Content
You retain ownership of any content you submit through the Services (such as assignment responses). By submitting content, you grant us a non-exclusive license to use, store, and process that content as necessary to provide the Services. For student content, this license is limited to educational purposes and is subject to our Privacy Notice.
Feedback
If you provide us with suggestions, ideas, or feedback about the Services, you grant us the right to use that feedback without restriction or compensation to you.
7. Third-Party Services
The Services may integrate with or link to third-party services, including:
- School information systems and learning management systems.
- Single sign-on (SSO) authentication providers.
- Analytics and performance monitoring services.
- External educational resources.
These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, privacy practices, or availability of third-party services. Your use of third-party services is at your own risk.
8. Privacy
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Notice, which is incorporated into this Agreement by reference.
We are committed to protecting student data and complying with applicable privacy laws, including FERPA, COPPA, GDPR, and state student privacy laws. We do not sell student personal information and do not use student data for advertising purposes.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Services will meet your specific requirements or expectations.
- The Services will be uninterrupted, timely, secure, or error-free.
- The results obtained from using the Services will be accurate or reliable.
- Any specific learning outcomes will be achieved.
- AI-generated content will be free from errors or biases.
Educational outcomes depend on many factors beyond our control, including student effort, teacher engagement, and institutional support. We are a tool to support learning, not a guarantee of educational success.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDAPT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, or other intangible losses, resulting from:
- Your access to or use of (or inability to access or use) the Services.
- Any conduct or content of any third party on the Services.
- Any content obtained from the Services.
- Unauthorized access, use, or alteration of your transmissions or content.
In no event shall our total liability exceed the amount you have paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Mindapt, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of this Agreement.
- Your violation of any third-party rights, including intellectual property or privacy rights.
- Your misuse of the Services.
- Any content you submit through the Services.
This indemnification obligation does not apply to students under 18 using the Services through their schools.
12. Termination
Termination by You: You may stop using the Services at any time. To close your account, contact your school administrator (for school-provided accounts) or email us at [email protected].
Termination by Us: We may suspend or terminate your access to the Services at any time, with or without cause or notice, if we believe you have violated this Agreement or if required to do so by law. We may also terminate Services if an educational institution's subscription ends.
Effect of Termination: Upon termination, your right to use the Services will immediately cease. We may delete your account and associated data in accordance with our data retention policies and applicable law. Provisions of this Agreement that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and dispute resolution.
13. Dispute Resolution
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Informal Resolution: Before filing any formal legal action, you agree to first contact us at [email protected] and attempt to resolve any dispute informally for at least 30 days.
Arbitration: If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to this Agreement shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware or, at your option, via video conference.
Class Action Waiver: To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this waiver is found unenforceable, then the entirety of this arbitration provision shall be null and void.
Exceptions: Nothing in this section prevents either party from seeking injunctive or other equitable relief in court for matters related to intellectual property rights or data security.
14. Changes to Terms
We may update this Agreement from time to time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page.
- Notify you by email (for account holders) or through the Services.
- For schools and districts, provide advance notice as required by our agreements.
Your continued use of the Services after changes become effective constitutes your acceptance of the revised Agreement. If you do not agree to the changes, you must stop using the Services.
